• "Publisher" means any person or entity that uses our Services to monetize their digital properties

3. Account Registration

3.1 Eligibility

To use our Services, you must:

• Have the legal capacity to enter into binding contracts

• Maintain the security of your account credentials

3.2 Account Responsibility

You are responsible for:

• All activities that occur under your account
• Maintaining the confidentiality of your password
• Immediately notifying us of any unauthorized use
• Ensuring your account information remains current

4. Services Description

4.1 For Advertisers

We provide advertising services including:

• Campaign creation and management
• Ad targeting and optimization
• Performance analytics and reporting
• Multiple ad format options

4.2 For Publishers

We provide monetization services including:

• Ad inventory management
• Revenue optimization
• Performance tracking
• Payment processing

5. Payment Terms

5.1 Advertiser Payments

Advertisers agree to:

• Pay for services in accordance with our pricing structure
• Maintain valid payment method on file
• Authorize automatic billing for ongoing campaigns
• Pay all applicable taxes and fees

5.2 Publisher Payments

Publishers will receive payments:

• On a net-30 basis from the end of each calendar month
• When earnings reach the minimum payout threshold of KSh 2,000
• Through approved payment methods (bank transfer, mobile money)
• Subject to verification and fraud prevention checks

6. Prohibited Content

You may not use our Services to distribute, display, or promote:

• Adult or sexually explicit material
• Hate speech, discrimination, or harassment
• Illegal activities or regulated substances
• Malware, spyware, or malicious software
• Copyright-infringing material
• Misleading or deceptive content
• Gambling or financial services without proper licensing
• Weapons, ammunition, or related products

7. Intellectual Property

7.1 Our Intellectual Property

Bid Stream Ads owns all rights, title, and interest in:

• The platform and its technology
• Our brand names, logos, and trademarks
• Proprietary software and algorithms
• Documentation and training materials

7.2 Your Content

You retain ownership of your advertising content, but grant us a license to:

• Display and distribute your ads through our network
• Modify ad creative for technical optimization
• Use your brand in our marketing materials (with permission)

8. Privacy and Data Protection

Our collection and use of personal information is governed by our Privacy Policy. By using our Services, you consent to such processing and you warrant that all data provided by you is accurate.

9. Service Modifications

We reserve the right to:

• Modify or discontinue any Service feature
• Change pricing with 30 days' notice
• Update these Terms at any time
• Suspend or terminate accounts for violations

Continued use after changes constitutes acceptance of modified terms.

10. Limitation of Liability

To the maximum extent permitted by law, Bid Stream Ads shall not be liable for:

• Indirect, incidental, or consequential damages
• Loss of profits, revenue, or data
• Service interruptions or technical issues
• Third-party actions or content

Our total liability shall not exceed the amount paid by you for Services in the preceding 6 months.

11. Indemnification

You agree to indemnify and hold harmless Bid Stream Ads, its officers, directors, employees, and agents from any claims, damages, or expenses arising from:

• Your use of the Services
• Your violation of these Terms
• Your infringement of any third-party rights
• Your distribution of prohibited content

12. Termination

12.1 By You

You may terminate your account at any time by providing written notice and settling all outstanding payments.

12.2 By Us

We may suspend or terminate your account if you:

• Violate these Terms or applicable laws
• Engage in fraudulent or harmful activities
• Fail to pay amounts when due
• Threaten the security or integrity of our platform

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Kenya. Any disputes shall be subject to the exclusive jurisdiction of the courts of Nairobi, Kenya.
